PART I - OUR WORK AND OUR WORK ENVIRONMENT
Quality as a Core Business Value
We all share in LifeCell’s commitment to quality, thereby assuring that our products meet applicable government regulatory standards, our own stringent quality requirements, and, most importantly, patient needs. In all areas of regulatory compliance, every employee shall uniformly and completely meet existing standards. When questions exist regarding the regulatory standard or the accepted prescribed method to meet the standards, it is each employee’s responsibility to stop and seek guidance from his/her supervisor. Similarly, each person is responsible for bringing any condition or situation in which s/he observes questionable conditions or practices to the attention of his/her supervisor or other management representative.
In the workplace, we must take pride in our daily activities and commit ourselves to following quality practices. As we strive for excellence, these commitments to quality convey a strong message to our customers that we are willing and able to provide for their current and future needs. We realize that a clear, focused effort in our daily work is required in order to continue developing our quality culture.
Treating People with Respect, Courtesy, Fairness and Dignity
We are professionals who hold ourselves accountable for individual and team decisions, actions, and results. Being considerate of, and recognizing, the dignity of all people is central to how we define ourselves. How we act on this belief extends across everything we do, from maintaining the confidentiality of donor, partner, and personal information, to handling customer requests and inquiries promptly and courteously. It also extends to acting professionally while participating in any job-related activity, including LifeCell sponsored off-site events and social gatherings. This is a broad-ranging philosophy that encompasses all aspects of respecting the inherent dignity of every person as referenced above, and as outlined in the LifeCell Team Member Handbook, the provisions of which are in addition to the provisions of this COE.
We approach challenges energetically, with open minds, and encourage proactive participation and constructive ideas by all. Our communication with all people is honest, open, clear and timely. We listen with the same passion as when we speak. We operate in a mutually supportive and caring manner, respecting the need to balance our personal and professional lives. We value unique contributions brought individually and collectively to the organization. We continually encourage personal and professional team development by embracing change, encouraging risk-taking, and learning from our mistakes.
We at LifeCell are committed to following fair employment practices and creating a non-discriminatory work environment that provides equal opportunities to all employees. Discrimination, or harassment in any form, will not be tolerated at LifeCell under any circumstances. All of us, as members of the LifeCell Team, are expected to abide by all applicable policies and laws regarding employee conduct.
Political Activities and Contributions
We recognize that individuals may be involved personally in a variety of political affairs. However, no employee shall directly or indirectly use or contribute Company funds or assets for or to any political party, candidate, or campaign, unless such a use or contribution is an accepted practice and lawful in the country involved, and is approved in advance by the Chief Financial Officer or the Chief Executive Officer. Team Members who choose to participate in political activities must recognize that they do so on an individual basis, on their own time, and at their own expense. No Team Member may speak on behalf of LifeCell without written authorization from the Chief Financial Officer, and any individual engaging in a public political activity must make it clear that he or she is participating on an individual basis and not on behalf of LifeCell. Prior written notification to the Human Resources Department is required for any Team Member contemplating running for elective or appointive office or contemplating service as a treasurer of a political campaign or of a political action committee.
Civic Activities
LifeCell is a responsible corporate citizen and is involved in various community activities in the geographic areas in which it operates. In this effort, LifeCell supports various educational, cultural and civic endeavors. LifeCell encourages Team Members to participate in civic affairs, and to use their good judgment to ensure that their respective participation does not create a conflict of interest and is not otherwise at variance with the principles of this COE.
Conflicts of Interest
As employees, we have a duty to be loyal to LifeCell. Whether we are engaged in work-related or outside activities, each of us must have LifeCell’s best interests in mind and a desire to contribute to the Company’s continued success. We must not, directly or indirectly, participate in any activity that may be contrary to LifeCell’s interests. When there is, or could appear to be, any conflict between our personal interests and LifeCell’s business interests, we must fully disclose all relevant facts to the Human Resources Department in advance, and request permission before taking action. Examples that result in such conflicts of interest are: conducting personal business or outside activities using work time or using such LifeCell resources as property, facilities, information, reputation, or business relationships; disclosing or discussing LifeCell proprietary technologies, trade secrets, or business relationships in public or in private without proper authorization; engaging in personal or outside business in competition with the business or interests of the Company; and/or influencing or attempting to influence any business transaction between the Company and another business entity in which the employee has a direct or indirect material financial interest, or acts as a director, officer, employee, partner, agent, or consultant.
Health and Safety in the Workplace
LifeCell is committed to fostering a Zero Accident Culture. This requires compliance with all applicable workplace standards and practices mandated by law. All employees are responsible for maintaining a safe and healthy working environment. By law, the Company is responsible for the proper handling and disposal of all regulated hazardous materials as outlined under all applicable local, state, and federal guidelines. The Company encourages all employees to become familiar with all aspects of the workplace environment, and to report any unsafe working conditions. |
