Corporate Code of Ethics

What is our Code of Ethics?

The Code of Ethics (COE) Program was established to formalize our commitment to conducting our daily business dealings with the highest level of integrity. Knowing the right thing to do may be difficult at times; even those of us with the best of intentions may have ethical issues that arise during the course of a workday. The COE Program is intended to clarify our corporate values, reinforce our commitment to act with integrity, and provide guidance in dealing with ethical concerns.

All employees are required to abide by our COE in order to ensure that our business is conducted in a consistently legal and ethical manner. The COE does not provide an exhaustive list of “do’s and don’ts,” but rather encompasses the LifeCell philosophy of how to conduct business. Our philosophy is incorporated into all Company policies and procedures, as we strive to treat all employees and external contacts with the utmost respect.

Given the unique nature of our business and the products we provide, it is very important that we are clear about our corporate values and maintain a solid commitment to act with integrity. First and foremost, as responsible stewards of the gift of tissue donation, our behavior and the critical decisions we make each day must be consistent with the spirit in which this precious gift was made. Second, our ability to take the gift and prepare surgical applications that significantly improve the quality of life for many critically ill patients is a core part of our mission. Our Code of Ethics reflects the magnitude of these responsibilities.

The standards of our COE are fundamental, and based upon the expectation that everyone associated with LifeCell Corporation will:
  • exercise good faith and honesty in all dealings and transactions
  • create a workplace that fosters community, respects the inherent dignity of every person, promotes employee participation, and ensures safety and well-being
  • maintain a superior level of knowledge and skill, in order to provide the highest quality products and services
  • maintain and protect the confidentiality of customer, employee, and organizational information
  • exercise responsible stewardship of both human and financial resources
  • avoid conflicts of interest and/or the appearance of conflicts of interests

No policy or code can cover the many circumstances or situations that may raise ethical concerns or the potential for a conflict of interest. So that difficulties can be avoided, if any Team Member is in doubt when encountering such a circumstance, or has any questions relating to this COE, the individual should seek guidance from his or her manager, or the Human Resources Department, or member of the senior management team before a course of conduct is begun or a commitment is made. If an individual has questions about any provision of this COE, he or she should contact his or her manager, the senior management team (as applicable), or the Human Resources Department.

This Code of Ethics has been written by our employees, for all employees, to promote the value of each person within, and outside of, the organization. As a LifeCell employee, you are required to report any conduct that you believe, in good faith, is an actual or apparent violation of ethical behavior.
